Software Development Services

DevSimplex provides custom software development, web development, mobile app development, cloud solutions, AI/ML services, and related technology consulting services as described on our website and in individual service agreements.

Service Delivery

Services are delivered according to the specifications, timelines, and terms outlined in your specific project agreement or statement of work. Any modifications to scope must be agreed upon in writing.

Accurate Information

You agree to provide accurate, current, and complete information when using our services or communicating with us. You are responsible for maintaining the confidentiality of any account credentials.

Lawful Use

You agree to use our services only for lawful purposes and in accordance with these terms. You will not use our services to engage in any activity that violates applicable laws or regulations.

Cooperation

For project-based services, you agree to provide timely feedback, necessary materials, access to systems, and cooperation required for successful project delivery.

Client Deliverables

Upon full payment, you will own the intellectual property rights to the custom software and deliverables created specifically for your project, as outlined in your service agreement.

DevSimplex Property

DevSimplex retains ownership of pre-existing tools, frameworks, methodologies, and general knowledge developed before or independently of your project. We may use generic, non-confidential learnings to improve our services.

Third-Party Components

Software may include third-party components subject to their own licenses. We will document any such components and their applicable licenses.

Fees and Invoicing

Fees for services are as specified in your project agreement or proposal. Invoices are due within the timeframe specified (typically 15-30 days). Late payments may incur interest charges.

Project-Based Payments

For fixed-price projects, payments are typically structured as milestones. Work on subsequent phases may be paused if previous milestone payments are overdue.

Service Warranty

We provide services with reasonable skill and care. For a specified warranty period after delivery, we will fix defects in deliverables at no additional cost, subject to the terms of your service agreement.

Liability Cap

To the maximum extent permitted by law, DevSimplex's total liability for any claims arising from these terms or your use of our services is limited to the amount paid by you for the specific services giving rise to the claim.

Exclusions

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Termination by Either Party

Either party may terminate services according to the terms specified in the applicable service agreement. Typically, this requires written notice and payment for work completed.

Effect of Termination

Upon termination, you will receive deliverables for work completed and paid for. Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination.
