  • Custom software developed specifically for you becomes your property upon full payment

6.3 DevSimplex IP

We retain ownership of our proprietary tools, frameworks, methodologies, and pre-existing intellectual property.

7. Payment Terms

7.1 General Terms

  • Payment terms are specified in individual project agreements
  • Invoices are typically due within 30 days of issuance
  • Late payments may incur interest charges as specified in agreements
  • We reserve the right to suspend services for overdue payments

9. Warranties and Disclaimers

EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the total amount paid for the specific service
  • We shall not be liable for indirect, incidental, or consequential damages
  • We are not liable for damages caused by your misuse of delivered software

11. Force Majeure

Either party may terminate a project agreement with written notice as specified in the individual agreement.

12.2 Effects of Termination

  • Client pays for work completed up to termination date
  • DevSimplex delivers work products completed as of termination
  • Confidentiality obligations survive termination
  • Each party returns or destroys confidential information

13. Website Terms

13.1 Acceptable Use

You may not use our website to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or spam
  • Attempt unauthorized access to our systems

13.2 Content
